Terms, Conditions & Disclaimer

The Business Terms and Conditions (“Terms”) outline the rights, responsibilities, and obligations between The8Venue (“Company”) and its clients, partners, contractors, and any other parties (“Client” or “Clients”) engaging in business with the Company. By using or engaging with The8Venue’s services, whether in real estate, property investment, design, or construction, Clients agree to be bound by these Terms. These Terms are designed to ensure a clear understanding of the roles, expectations, and services provided by The8Venue and its Clients.

1. Services Provided
The8Venue offers a comprehensive range of services, including but not limited to property consultation, property investment advice, real estate transactions, design and build services, and construction management. The specific scope of services provided will be detailed in individual agreements or contracts between The8Venue and the Client, which will outline the services to be delivered, timelines, and project specifications.

2. Client Obligations
Clients are responsible for providing accurate and complete information when engaging The8Venue for services. This includes financial details, property specifications, investment objectives, and any other relevant data required for the proper execution of services. Clients must promptly inform The8Venue of any changes to their requirements or circumstances that may affect the delivery of services. Failure to do so may result in delays, additional costs, or termination of the agreement.

Clients are also expected to cooperate with The8Venue by making timely decisions, providing necessary approvals, and responding promptly to communication from The8Venue. Any delay in Client responses or actions may impact the timelines and result in adjustments to the original schedule or costs, which will be communicated accordingly.

3. Payment Terms
The terms of payment, including fees, deposits, and due dates, will be outlined in the individual agreement or contract specific to the Client’s project. Payment is expected to be made as per the agreed-upon schedule. Invoices will be issued according to the payment plan, and Clients are required to settle payments within the specified time frame. The8Venue reserves the right to charge interest on overdue payments in accordance with applicable laws.

In cases where a deposit is required to secure The8Venue’s services, the deposit amount will be outlined in the agreement, and no work will commence until the deposit has been received. The remaining balance will be payable according to the terms specified in the contract.

In the event of non-payment or delayed payment, The8Venue reserves the right to suspend or terminate services until all outstanding fees have been settled. In addition, legal actions may be pursued to recover unpaid amounts.

4. Project Scope and Modifications
The scope of each project, including deliverables, timelines, and specifications, will be defined in the contract or agreement signed between The8Venue and the Client. Any changes to the scope of work, including adjustments to project specifications, timelines, or costs, must be mutually agreed upon in writing by both parties before implementation.

The8Venue will make reasonable efforts to accommodate changes requested by the Client. However, such changes may result in adjustments to the original schedule and fees. Clients should be aware that significant modifications or requests for additional services outside of the initial agreement may result in extra charges, which will be communicated in advance.

5. Intellectual Property and Ownership
All intellectual property, including designs, plans, drawings, and other creative works produced by The8Venue during the course of a project, remain the property of The8Venue unless otherwise agreed in writing. The Client may receive a license or limited rights to use the intellectual property as part of the final project deliverables, but such rights will be non-transferable and limited to the purpose agreed upon.

Clients may not reproduce, distribute, or modify any designs or intellectual property without the express written permission of The8Venue. Any unauthorized use or duplication of The8Venue’s intellectual property may result in legal action.

6. Confidentiality
Both The8Venue and the Client agree to keep all confidential information, including but not limited to proprietary business information, trade secrets, personal data, financial information, and project details, private and secure. Neither party may disclose or share any confidential information to third parties without prior written consent, except as required by law or as necessary to fulfill the terms of the agreement.

Confidentiality obligations remain in effect even after the termination or completion of the contract or agreement between The8Venue and the Client.

7. Termination and Cancellation
The8Venue or the Client may terminate an agreement at any time, subject to the terms outlined in the specific contract. If the Client wishes to terminate services before the completion of a project, they must provide written notice to The8Venue. In such cases, the Client may be required to pay for any work already completed, as well as any expenses incurred up to the point of termination.

The8Venue reserves the right to terminate services if the Client fails to meet their obligations, including but not limited to non-payment, failure to cooperate, or violation of these Terms. In such cases, The8Venue may seek compensation for any work completed and expenses incurred.

If a project is canceled or terminated due to circumstances beyond The8Venue’s control (force majeure), The8Venue is not liable for any delays or inability to complete the project. Both parties will have the opportunity to discuss and agree on how to proceed, which may involve suspending or modifying the terms of the agreement.

8. Liability and Indemnification
The8Venue is committed to providing services to the highest professional standards. However, The8Venue will not be held liable for any indirect, incidental, or consequential damages arising from the use of its services, including but not limited to delays, project disruptions, or losses resulting from circumstances beyond its control.

The Client agrees to indemnify and hold harmless The8Venue and its employees, agents, and subcontractors from any claims, damages, or liabilities arising out of the Client’s use of The8Venue’s services, breach of contract, or failure to meet obligations under these Terms.

9. Warranty and Quality of Service
The8Venue guarantees that all work will be performed to industry standards and in compliance with applicable laws and regulations. If the Client identifies any defects or issues with the work provided, The8Venue will take reasonable steps to rectify the problem, provided that such issues are reported within a specific time frame outlined in the contract.

The8Venue does not provide warranties beyond those required by law. Any additional warranties, whether for materials, workmanship, or services, will be outlined in the specific agreement with the Client.

10. Governing Law and Dispute Resolution
These Terms and any contracts or agreements entered into between The8Venue and the Client will be governed by the laws of the jurisdiction in which The8Venue operates. In the event of a dispute, both parties agree to attempt to resolve the issue amicably through negotiation and mediation. If a resolution cannot be reached, the dispute may be escalated to arbitration or legal proceedings, as outlined in the contract.

11. Amendments and Updates to Terms
The8Venue reserves the right to amend or update these Terms as necessary to reflect changes in business practices, legal requirements, or service offerings. Clients will be notified of any significant changes to the Terms, and continued use of The8Venue’s services after such updates will constitute acceptance of the revised Terms.

12. Entire Agreement
These Terms, along with any written contracts or agreements between The8Venue and the Client, constitute the entire agreement between the parties. No verbal or implied agreements, representations, or understandings will override the written terms, unless explicitly stated and agreed upon in writing by both parties.

By engaging The8Venue’s services, Clients acknowledge that they have read, understood, and agreed to these Terms. If any provision of these Terms is found to be invalid or unenforceable by a court of law, the remaining provisions will continue to be in full force and effect.
